Terms of Service

These Terms of Service (“Terms”) govern access to and use of the IKARY website, private beta, and related services provided by IKARY (“we”, “us”, or “our”).

By accessing or using IKARY, you agree to these Terms.

Acceptance of Terms

You may use IKARY only if you are legally able to enter into a binding agreement on behalf of yourself or your organization. If you do not agree to these Terms, do not access or use the service.

Private Beta Status

IKARY is currently offered as a private beta. Features may change, be interrupted, or be removed at any time. We may invite, pause, or remove access at our discretion while the product is in this stage.

Beta Use Restrictions

The private beta is provided solely for evaluation, testing, and feedback.

• The private beta is not intended for production use.
• You use the private beta at your own risk.
• You are responsible for deciding whether the private beta is appropriate for your environment, data, and workflows.
• You should not rely on the private beta for business-critical, customer-facing, regulated, or safety-sensitive operations.

User Accounts

You are responsible for:

• maintaining the confidentiality of account credentials;
• all activity under your account;
• providing accurate account information; and
• promptly notifying us of unauthorized access or suspected security incidents.

Platform Usage

IKARY is a platform infrastructure tool that helps users generate internal applications (“Cells”).

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the platform for internal business and development purposes.

You may not use IKARY in a way that:

• violates law or regulation;
• interferes with platform integrity, security, or availability;
• attempts unauthorized access to systems, accounts, or data; or
• distributes malicious code, spam, or abusive content through the service.

User Responsibilities

You are solely responsible for:

• the design, operation, and content of Cells you build;
• data you upload, process, or expose through Cells;
• permissions, access control, and internal governance of your applications; and
• compliance with laws and contractual obligations relevant to your use case.

IKARY does not assume responsibility for business decisions, outcomes, or legal compliance of user-created applications.

Intellectual Property

IKARY and related software, documentation, and branding are owned by IKARY or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted in these Terms, no rights are granted to use our intellectual property.

You retain rights to content and data you provide, subject to rights needed by us to operate and support the platform.

Feedback

If you provide feedback, suggestions, or product ideas, you grant us the right to use that feedback without restriction or compensation.

Availability and Support

IKARY is offered on a best-effort basis during private beta. Unless we have agreed otherwise in writing, we do not provide a guaranteed service level, uptime commitment, or response time.

Disclaimer of Warranties

To the maximum extent permitted by law, IKARY is provided on an “as is” and “as available” basis. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the private beta will be uninterrupted, secure, error-free, accurate, or suitable for production use.

Limitation of Liability

To the maximum extent permitted by applicable law:

• we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities; and
• we are not liable for data loss, service interruption, security issues, output errors, or other harm arising from use of the private beta.

Our total liability for claims related to the platform will not exceed the amounts paid by you (if any) for the relevant service period giving rise to the claim.

Termination

We may suspend or terminate access if we reasonably believe:

• these Terms have been violated;
• platform security or integrity is at risk; or
• suspension is required for legal or operational reasons.

You may stop using the platform at any time. On termination, rights granted under these Terms end, but provisions that by nature should survive termination remain in effect.

Changes to Terms

We may update these Terms from time to time. Updated Terms become effective when posted with a revised “Last Updated” date. Continued use of IKARY after changes means you accept the updated Terms.
